Utah’s Blue Sky Law: The Uniform Securities Act

In Utah, the Uniform Securities Act regulates the offering and sale of securities in the state. These serve as an additional regulatory layer to federal securities laws and require the registering of offerings before they can be sold in Utah.

Utah Uniform Securities Act § 61-1-14provides numerous exemptions from securities registration, divided into two groups:

  • Exemptions for securities themselves based on the type of security being offered/sold; and
  • Exemptions for specific types of transactions regardless of the type of security offered/sold.

Some exemptions are self-executing, meaning no filing is required, but others require a filing with the Utah Division of Securities to claim an exemption. It is important to have your lawyer review your unique situation to determine which exemptions apply.
